The short answer

A commercial lender's closing day is a funding day. The documents are usually signed before it, and the work is confirming that every condition to funding is satisfied, that title is current, that the money will go to the right place, and that the mortgage will record. It runs as a sequence: conditions, title, documents, closing statement, authorization, wire, recording, hand-off.

The checklist below covers that last stretch only, the day before funding through the post-closing hand-off. The full closing checklist, with every document family and owner from commitment onward, is a separate and longer list. If items from that list are still open on closing day, the right move is usually to move the date, not to fund around them.

How is a lender's closing day different from a buyer's?

Search for a closing day checklist and almost every result is written for home buyers: bring photo ID, a cashier's check, proof of insurance, then sign for an hour and collect the keys. A commercial lender's day looks nothing like that. Signatures are often collected in escrow over several days, nobody meets at a table, and the lender may never be in the same room as the borrower.

What makes the day work is the lender's closing instructions to the settlement agent and a list of funding conditions everyone has already seen. This post is the funding-day subset of the commercial loan closing checklist, which stays the parent list. Funding day should only confirm what that list already shows as done.

What must be true before closing day starts?

Two things. First, every funding condition in the commitment letter and loan agreement is either satisfied with a document in the file or waived in writing by someone with authority to waive it. Second, the open list is short and named: the punch list should hold only the items that by their nature happen on the day, such as the date-down, the final closing statement and the wire.

If credit is still approving a condition, insurance wording is still in comments, or an estoppel has not arrived, the deal is not at closing day. It is at the end of the pre-funding push. Being honest about that the day before saves a failed funding.

What is on a commercial loan closing day checklist?

In order, from the day before funding to the hand-off.

  • Confirm pre-funding conditions
Walk the condition list once more against the file. Every line has a document or a written waiver.
  • Bring title current
The title company runs its date-down search to the latest available date and reports anything new since the last commitment revision.
  • Approve the marked-up commitment, and the pro forma if one is used
Lender's counsel confirms the requirements are met, the agreed exceptions are deleted, the endorsements are listed and the gap is handled. A pro forma alone is not enough: under Condition 8 of the 2021 ALTA commitment it is only a sample and not a commitment to insure, so the marked-up commitment or the closing instructions must bind the insurer to issue the policy in the agreed pro forma form.
  • Bring down the lien searches
UCC, judgment and tax lien searches are updated where counsel requires, and any new filing is cleared or explained.
  • Collect signed documents
Every loan document is signed by the right signer in the right capacity, notarized where it will record, and held in escrow. The original note goes where counsel directs.
  • Receive opinions and certificates
Borrower's counsel opinion, officer's certificates, and final insurance evidence naming the lender as required.
  • Sign off the closing statement
The lender reconciles every line to the loan agreement and approves the final version, then the borrower signs.
  • Confirm closing instructions are accepted
The settlement agent has acknowledged the lender's closing instructions, including recording and disbursement conditions.
  • Authorize funding
The lender's internal funding authorization is approved by the people the credit policy names, against the final numbers.
  • Verify and release the wire
Call back to a known number to verify instructions, release with two people, then confirm receipt.
  • Authorize release and recording
Once conditions are met, the lender authorizes the settlement agent to release documents and funds and record the mortgage and related documents.
  • Confirm recording and disbursement
The settlement agent confirms recording, or submission for recording, and that payoffs and disbursements went out as the closing statement shows.
  • Hand off to post-closing
Open items move to the post-closing punch list with owners, and the file goes to loan boarding.

Who owns each step, and when does it happen?

Most failed fundings trace to a step nobody owned. The table assigns each one. Titles differ by shop: the closer may be a loan closer, a closing paralegal or a loan administrator.

What does final title look like on funding day?

The commitment's search stopped on its Commitment Date. On funding day the title company searches again to the latest date the records allow, often called the date-down or bring-down, and reports anything that recorded since. A new lien, a new deed or a lis pendens found here stops the funding until counsel decides what to do. This is a different thing from the date-down endorsement used later on construction draws or modifications.

The other half of final title is the gap between the date-down and recording. Counsel usually wants the gap exception removed from the policy, and title companies often ask the borrower for a gap indemnity before they agree. The marked-up commitment is the document that confirms what the lender will be insured for until the final policy issues.

What should a lender check on the closing statement?

The settlement statement is where every dollar is accounted for. The closer reconciles it to the loan agreement and the fee schedule: the loan amount, the lender's fees and counsel's fees, the reserves and escrows the loan requires, the payoff amounts from the payoff letters, the title and recording charges, and the net funds to the borrower.

Two checks catch most errors. The total the lender wires must equal the lender's column on the statement exactly. And every payoff on the statement must match a payoff letter verified with the payee, dated to cover the funding date. A last-minute change to the statement on funding morning is normal; a last-minute change to who gets paid is a reason to stop.

How should funding authorization and the wire work?

Funding authorization is an internal approval, not a formality. The approvers named in the lender's policy confirm that conditions are met and that the amount and recipient match the closing statement. Then the wire follows the lender's procedure: instructions taken from the closing instruction letter or the verified record, a call back to a number the lender already holds, a second person to release, and a call to confirm receipt.

Build the time for that into the day. Bank wire cutoffs, recording office hours and time zones decide when funding can happen, and the closing timeline estimator helps set a realistic target date before the day arrives. If wire instructions change on funding day, verification starts again, even if it costs the day.

What happens once the money moves?

Funding is not the finish. The settlement agent records the mortgage and the related documents, disburses the payoffs and other funds, and the title company issues the final policy later. Recording confirmations, the final policy, original documents and any open conditions subsequent become the post-closing list, owned by name. The full sequence is in what happens after a commercial loan closes.

Teams that run funding day from a spreadsheet tend to lose the thread at exactly this point: the sheet says funded, and the open items live in someone's inbox. The comparison of spreadsheets versus a shared checklist covers why. In Prodeal the same live checklist carries from kickoff through funding, open items move to the punch list with owners and due dates, and the closing binder exports from the executed set.

Questions lenders ask

What happens on closing day for a commercial loan?
The lender confirms the funding conditions are met, title is brought current, the closing statement is approved, funding is authorized and the wire is verified and sent. Then the settlement agent records the mortgage and disburses funds.
Do commercial borrowers sign at a closing table?
Usually not. Signature pages are often collected in escrow by the settlement agent over several days, and funding happens once the lender's closing instructions are satisfied.
What documents does a lender need before funding?
Signed loan documents, the borrower's counsel opinion where required, organizational and authority documents, insurance evidence, the approved marked-up commitment (or closing instructions binding the insurer to the agreed pro forma, since a pro forma by itself is not a commitment to insure), the final closing statement and verified wire instructions.
What is a title date-down at closing?
It is the title company's updated search, run as close to funding as the records allow, to catch anything recorded since the last commitment. It differs from a date-down endorsement, which updates an issued policy later.
What is a funding authorization?
The lender's internal approval to release loan proceeds, given by the people its credit policy names, after confirming the conditions and the final numbers on the closing statement.
What happens two weeks before a commercial closing?
The pre-funding push: every open item is named on a punch list, third-party reports are final, documents are in final form and title objections are resolved, so funding day only confirms what is done.
Should a lender fund with an open condition?
Only if someone with authority waives it in writing or converts it into a documented post-closing condition. Funding around an open condition without either is how files fail audits.
